Wholesale Terms & Conditions

By placing a wholesale order with CuraYou LLC, and completing payment of an invoice with these terms & conditions attached, you (the "Buyer" or "Reseller") acknowledge that you have read, understood, and agree to be bound by the following terms and conditions. These terms apply to all wholesale purchases from CuraYou LLC. If you do not agree with these terms, do not complete your order.

1. Products and Pricing

1.1 CuraYou agrees to sell products at the wholesale pricing set forth below. Pricing is subject to change with 30 days' written notice from CuraYou.

1.2 The minimum order quantity is five (5) units per order. Orders may contain a mix of products, but each product line must meet the applicable tier threshold individually for the corresponding wholesale price to apply.

1.3 CuraYou reserves the right to update product offerings, discontinue products, or adjust wholesale pricing with 30 days' written notice.

2. Minimum Retail Price Policy

2.1 The Reseller agrees not to advertise, offer for sale, or sell any CuraYou product below the Minimum Retail Price specified in the pricing table above.

2.2 This policy applies to all sales channels, including but not limited to in-person sales, online marketplaces, e-commerce websites, and social media.

2.3 Violation of the Minimum Retail Price policy may result in immediate termination of the Reseller's wholesale purchasing privileges.

3. Ordering and Payment Terms

3.1 All orders shall be placed by email to support@curayou.com or through a method designated by CuraYou. CuraYou will issue an invoice for each order.

3.2 Payment is due in full via bank transfer (ACH or wire) prior to shipment. CuraYou will not ship any order until payment has been received and cleared.

3.3 Credit card payments are not accepted for wholesale orders.

4. Shipping and Delivery

4.1 CuraYou ships from its warehouse in Texas, USA. Standard processing time is 2–5 business days. Orders exceeding 20 units may require additional processing time (approximately 4 business days) for B2B packaging and shipment preparation.

4.2 Shipping costs are the responsibility of the Reseller unless otherwise agreed in writing. A tracking link will be provided for all shipments.

4.3 All wholesale orders are shipped with signature confirmation. Risk of loss and title to the products transfers to the Reseller upon confirmed delivery as evidenced by the recipient's signature. CuraYou bears responsibility for lost or damaged shipments until delivery is confirmed.

4.4 The Reseller must inspect all products upon delivery and report any damage, defects, or discrepancies to CuraYou within three (3) business days of receipt. This allows CuraYou to file a claim with the carrier on the Reseller's behalf. Issues reported after this window may not be eligible for a carrier claim.

5. Warranty

5.1 CuraYou provides a one (1) year warranty on all products sold under these terms, covering defects in materials and workmanship under normal use. This warranty period reflects the higher-volume usage typical of professional and clinical settings.

5.2 The warranty does not cover damage resulting from misuse, unauthorized modification, negligence, or normal wear and tear.

5.3 Defective units will be replaced by CuraYou at no cost to the Reseller or the end customer, subject to CuraYou's inspection and verification of the defect.

6. Return Policy

6.1 All wholesale sales are final. There is no money-back guarantee for wholesale orders. Returns are accepted only for units confirmed defective under the warranty described in Section 5.

6.2 The 60-day consumer return policy offered on CuraYou's retail website (curayou.com) does not apply to wholesale purchases.

6.3 The Reseller is solely responsible for establishing and honoring their own return and refund policies with their end customers.

7. End Customer Warranty Claims

7.1 End customers who purchased a CuraYou product from a Reseller may submit warranty claims directly to CuraYou at support@curayou.com.

7.2 To process a warranty claim, the end customer must provide a valid proof of purchase showing: (a) the date of purchase, and (b) the name of the Reseller or business from which the product was purchased.

7.3 CuraYou will process valid warranty claims in accordance with the warranty terms in Section 5.

8. Liability and Indemnification

8.1 Upon delivery of products to the Reseller (or to the carrier on the Reseller's behalf), all liability for the products — including but not limited to product liability, customer claims, and third-party claims — transfers to the Reseller.

8.2 The Reseller agrees to indemnify, defend, and hold harmless CuraYou LLC, its officers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) the Reseller's sale, marketing, or distribution of products; (b) the Reseller's breach of these terms; or (c) any claims by end customers or third parties related to the Reseller's business activities.

8.3 CuraYou's total liability shall not exceed the total wholesale purchase price paid by the Reseller for the specific products giving rise to the claim.

9. Termination

9.1 CuraYou may revoke a Reseller's wholesale purchasing privileges at any time, with or without cause, by providing written notice via email.

9.2 CuraYou may revoke privileges immediately, without prior notice, if the Reseller: (a) breaches the Minimum Retail Price policy; (b) fails to pay for an order; or (c) engages in conduct that, in CuraYou's reasonable judgment, may harm CuraYou's brand or reputation.

9.3 Upon termination, the Reseller shall have no further right to purchase products at wholesale pricing. Sections 6, 8, and 10 shall survive termination.

10. General Provisions

10.1 Governing Law. These terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.

10.2 Applicability. These terms apply to all wholesale orders placed after the date on which these terms are first provided to the Reseller. Orders placed prior to that date are governed by the terms and conditions in effect at the time those orders were placed.

10.3 Amendments. CuraYou reserves the right to update these terms at any time. Updated terms will be communicated to active Resellers via email. Continued placement of orders after such notice constitutes acceptance of the updated terms.

10.4 Assignment. The Reseller may not assign or transfer any rights or obligations under these terms without the prior written consent of CuraYou.

10.5 Independent Contractors. The parties are independent contractors. Nothing in these terms creates a partnership, joint venture, agency, or employment relationship.

10.6 Notices. All notices shall be sent by email and shall be deemed received upon confirmation of delivery.
